Reef Advocates Contributor License

This Reef Advocates Contributor License (“License”) sets forth binding terms that govern the grant of rights by each Contributor to Reef Advocates, a nonprofit corporation organized under the laws of the State of Oregon, United States of America, with respect to any data, media, or other material to which this License is applied.
1. Definitions.
In this License:
“Contributor” means the person or entity who is granting rights under this License.
“Materials” means the data, media, works of authorship, or other material to which this License is applied, including any associated metadata.
“Derivatives” means any data, dataset, media, works of authorship, output, or other material created, in part or in whole, from the Materials, including any adaptation, transformation, modification, aggregation, analysis, or combination thereof.
“Recipient” means Reef Advocates and any third party sublicensee or other current or future recipient of rights under this License.
2. Ownership.
Subject to the rights granted in this License, the Contributor retains ownership of the Materials.
3. License Grant.
The Contributor grants to Reef Advocates a worldwide, royalty-free, non-exclusive license to:
- process, adapt, modify, and transform the Materials;
- create Derivatives, including those which combine or transform the Materials and data or other materials from other sources;
- use, reproduce, copy, store, distribute, sublicense, publish, and display the Materials and any Derivatives; and
- otherwise use the Materials and any Derivatives for any purpose without restriction.
This License includes all rights necessary to exercise the foregoing, including copyright, database rights, and any similar or equivalent rights in any jurisdiction. This License may be assigned or transferred, in whole or in part.
Except to the extent required by applicable law, this License is perpetual and irrevocable, and the Contributor may not withdraw, rescind, or terminate the rights granted under this License.
4. Attribution.
Nothing in this License requires any Recipient to attribute the Contributor in connection with use of the Materials or any Derivatives. A Recipient may, in its discretion, provide attribution or identify the Contributor, subject to applicable law and any other applicable agreements.
5. Use of Names and Marks.
If the Contributor is not an individual, a Recipient may, in its discretion, use the name and, where reasonably necessary, the trademarks or service marks of the Contributor to identify the source of the Materials or any Derivatives where such use is customary, unless and until otherwise requested by the Contributor.
6. No Endorsement.
Nothing in this License shall be construed as permission to imply that the Contributor or any Recipient sponsors, endorses, or is affiliated with any person, organization, product, or use of the Materials or any Derivatives.
7. No Compensation.
Unless explicitly agreed in writing, the Contributor is not entitled to any payment, royalties, or other compensation from any Recipient in connection with the rights granted under this License or the use of the Materials or any Derivatives.
8. Moral Rights Waiver.
To the fullest extent permitted by law, the Contributor waives any moral rights or similar rights in the Materials and any Derivatives that could restrict the exercise of rights under this License by any Recipient. Where such rights cannot be waived, the Contributor agrees not to assert them.
9. Contributor Representations.
The Contributor represents that:
- the Contributor has the right to grant the rights set forth in this License; and
- the Materials, and the rights therein granted under this License, do not, to the Contributor’s knowledge, infringe contractual or intellectual property rights of others, including without limitation any copyright, trademark, patent right, or database right.
10. Disclaimer of Warranties.
The Materials are provided “as is,” and the Contributor disclaims all warranties, express or implied, to any Recipient, including without limitation warranties of merchantability or fitness for a particular purpose.
11. Limitation of Contributor Liability.
To the fullest extent permitted by law, the Contributor shall not be liable to any Recipient, except to the extent liability arises from the Contributor’s (i) breach of this License or any other applicable agreement or (ii) intentional misconduct.
12. Relationship to Other Agreements.
The circumstances under which this License applies, and other terms relating to use of services or data, may be governed by separate agreements or policies, including terms of use or privacy policies. In the event of a conflict regarding the rights granted under this License, this License controls.
For the avoidance of doubt, no deletion of an account, request for removal, or other action by the Contributor that is allowed under a separate agreement or policy will affect the continued validity of this License or the rights granted herein.
13. Governing Law and Venue.
This License shall be governed by the laws of the State of Oregon. All disputes and litigation arising out of this License shall be decided by the state courts in Oregon. Venue for all disputes and litigation shall be in Deschutes County, Oregon.
14. Severability.
In the event any provision of this License is determined to be void or unenforceable, it shall not affect the remainder of the License which shall continue to be in full force and effect.
